These Terms govern your access to and use of PeopleOS, a proprietary platform developed and owned by MBU Intelligence, Lda. By accessing the Platform you agree to be bound by these Terms.
PeopleOS is the exclusive intellectual property of MBU Intelligence, Lda. Unauthorised reproduction, distribution, or reverse-engineering of any part of this software is strictly prohibited and may constitute a criminal offence.
PeopleOS (the "Platform") is a proprietary software platform developed, owned, and operated exclusively by MBU Intelligence, Lda. ("MBU Intelligence", "we", "our", "the Company"), a consultancy company incorporated in Portugal.
All source code, algorithms, machine-learning models, psychometric scoring engines, user interface designs, data structures, application programming interfaces (APIs), documentation, trade secrets, and any derivative works contained within or forming part of PeopleOS are the sole and exclusive intellectual property of MBU Intelligence.
No part of the Platform — in whole or in part — may be reproduced, copied, distributed, reverse-engineered, decompiled, disassembled, modified, sublicensed, or otherwise exploited without the prior express written consent of MBU Intelligence. Any unauthorised use constitutes a violation of applicable intellectual property law and may give rise to civil and criminal liability.

"PeopleOS", "MBU Intelligence", and the PeopleOS logo are trademarks and/or trade names of MBU Intelligence, Lda. They may not be used in connection with any product, service, or communication that is not produced or authorised by MBU Intelligence, or in any manner that is likely to cause confusion, or that disparages or discredits MBU Intelligence.
All other trademarks, service marks, and trade names referenced on the Platform belong to their respective owners and are used solely for identification purposes.
Subject to your acceptance of these Terms and payment of any applicable fees, MBU Intelligence grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Platform solely for your internal business purposes in accordance with these Terms.
This licence does not include the right to: (a) sublicense, sell, resell, transfer, assign, or commercially exploit the Platform; (b) modify, create derivative works based upon, or reverse-engineer the Platform; (c) access the Platform to build a competing product or service; or (d) scrape, crawl, or otherwise extract data from the Platform by automated means.
Any rights not expressly granted herein are reserved by MBU Intelligence.
If you provide MBU Intelligence with suggestions, ideas, enhancement requests, recommendations, or other feedback relating to the Platform ("Feedback"), such Feedback is entirely voluntary and MBU Intelligence will be free to use, disclose, reproduce, licence, and otherwise exploit such Feedback without restriction and without any obligation or compensation to you.
You hereby assign to MBU Intelligence all intellectual property rights in and to any Feedback you provide.
The Platform incorporates certain open-source and third-party software components. These components are subject to their own licence terms, which are separate from and independent of this Agreement. MBU Intelligence's use of third-party components does not grant you any additional rights to the underlying proprietary code of PeopleOS.

As between you and MBU Intelligence, you retain ownership of all data you submit to the Platform ("Your Data"). By submitting Your Data, you grant MBU Intelligence a worldwide, royalty-free licence to host, process, and transmit Your Data solely to the extent necessary to provide the Platform to you and in accordance with the Privacy Notice.
MBU Intelligence does not sell Your Data to third parties. Psychometric and assessment data is processed exclusively as described in the Privacy Notice and in compliance with GDPR and the EU AI Act.
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MBU INTELLIGENCE EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
MBU Intelligence does not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components, or that any defects will be corrected.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL MBU INTELLIGENCE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE PLATFORM.
In jurisdictions that do not allow the exclusion or limitation of liability for incidental or consequential damages, MBU Intelligence's liability is limited to the maximum extent permitted by law.
These Terms are governed by and construed in accordance with the laws of Portugal, without regard to its conflict of laws principles. The parties irrevocably submit to the exclusive jurisdiction of the courts of Lisbon, Portugal, for the resolution of any dispute arising out of or in connection with these Terms or the Platform.
Nothing in this clause shall limit MBU Intelligence's right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.
MBU Intelligence reserves the right to modify these Terms at any time. Material changes will be communicated to account holders by email no less than 14 days before taking effect. Continued use of the Platform after the effective date of any change constitutes acceptance of the revised Terms.
